2.3. Governing language. The Slovak version of these Terms of Service is legally binding. In the event of a conflict with a version in another language, the Slovak version prevails.

3. General provisions

3.1. Scope. These Terms of Service govern the use of the Website, the creation and use of the Demo Environment and the provision of the Service under an Agreement.

3.2. A service for businesses. The Service and the Demo Environment are intended exclusively for businesses and organisations for the purposes of their business or activity. By creating a Demo Environment or concluding an Agreement, you confirm that you are acting on behalf of such an entity and are authorised to act for it. Relations between the Company and the Customer are governed by the Commercial Code.

3.3. Precedence of the Agreement. If the Agreement contains different terms, they take precedence over these Terms of Service.

3.4. Communication. We usually deliver legally relevant notices by e-mail to the address provided by the Customer. The Customer must keep this address up to date.

4. Use of the Website

4.1. Website content. Information on the Website is for information purposes only and is not an offer to conclude a contract. The scope of features, plans and prices becomes binding only under an Agreement or a price offer.

4.2. Rules of use. You may not use the Website in breach of the law, interfere with its technical operation, bypass form protection or use it to send unsolicited or harmful messages.

4.3. Third-party links. The Website may contain links to third-party websites. The Company is not responsible for their content.

5. Demo Environment

5.1. Creation. You can create a Demo Environment by filling in the registration form on the Website. When registering, you provide in particular your name and surname, e-mail address, phone number, organisation name and preferred domain. We will send the access details to the e-mail address provided. By submitting the registration, an agreement on the free provision of the Demo Environment under this Article is concluded between you and the Company.

5.2. No entitlement and capacity. There is no entitlement to a Demo Environment. If the Demo Environment capacity is full, we will put your registration in the queue and inform you by e-mail once the Demo Environment has been created. The Company may refuse a registration, in particular if the details provided are false or if a Demo Environment already exists for the same entity, domain or e-mail address.

5.3. Purpose and content. The Demo Environment is intended solely for trying out the Service. It may contain sample data, and its features, performance and availability may be limited compared with the Service provided under an Agreement.

5.4. Recommendation on data. Do not enter real personal data of third parties or sensitive company data into the Demo Environment. If you do so nevertheless, you are responsible for having a legal basis for such processing.

5.5. Duration and cancellation. We provide the Demo Environment for the period stated when it is created, otherwise for an indefinite period which the Company may end at any time. The Company may also cancel the Demo Environment if these Terms of Service are breached or after a long period of inactivity. Cancelling the Demo Environment permanently deletes the data in it. You may request cancellation of your Demo Environment at any time by e-mail.

5.6. No warranty. We provide the Demo Environment free of charge and as is. The Company does not guarantee its continuous availability or the preservation of the data stored in it.

6. Agreement on the provision of the Service

6.1. Plans. The Service is provided in the plans published on the Website. The scope of modules, number of Users, price and other terms of the Business and Enterprise plans are agreed individually.

6.2. Conclusion of the Agreement. The Agreement is concluded by signing it, by accepting the Company's price offer or by the Company confirming an order, to the extent stated therein.

6.3. Price and payment terms. The price of the Service, the billing period and the due date are set out in the Agreement. Unless the Agreement provides otherwise, invoices are payable within fourteen (14) days of issue. If payment is late, the Company may restrict access to the Service after prior notice.

6.4. Term and termination. The Agreement is concluded for the term stated in it. Unless stated otherwise, it is concluded for an indefinite period and either party may terminate it with one (1) month's notice, starting on the first day of the month following delivery of the notice.

6.5. Withdrawal. Either party may withdraw from the Agreement if the other party materially breaches its obligations and fails to remedy the breach within a reasonable additional period of at least fifteen (15) days from delivery of a written request.

7. User accounts and security

7.1. Setting up access. The Customer sets up and manages Users' access and determines their permissions in the Service. The Customer is responsible for the conduct of its Users as for its own.

7.2. Login details. Login details are confidential. The Customer and Users must protect them against misuse and inform the Company immediately of any suspected unauthorised access.

7.3. Accuracy of data. The Customer is responsible for the accuracy and currency of the data it has provided to the Company.

8. Customer Data

8.1. Ownership of data. Customer Data belongs to the Customer. The Company acquires no rights to it except the right to process it to the extent necessary to provide, secure and support the Service.

8.2. Personal data protection. For personal data forming part of the Customer Data, the Customer is the controller and the Company is the processor under Article 28 GDPR. Its processing is governed by the data processing agreement, which forms part of the Agreement.

8.3. Responsibility for content. The Customer is responsible for the lawfulness of the Customer Data, in particular for ensuring that entering and processing it in the Service does not infringe the rights of third parties or the law.

8.4. Export and deletion. During the term of the Agreement, the Customer may export Customer Data using the features of the Service or on request. After the Agreement ends, the Company will return the Customer Data at the Customer's request and then delete it within the period agreed in the Agreement, otherwise within ninety (90) days, unless its retention is required by law.

8.5. Backups. The Company backs up the Service regularly. However, the Service is not intended as the sole storage or archive of Customer Data.

9. AI Features

9.1. Nature of outputs. Outputs of the AI Features are generated automatically based on data in the Service and Users' questions. They may be incomplete, inaccurate or out of date.

9.2. Verifying outputs. The Customer and Users must assess and verify the outputs of the AI Features before using them. Outputs of the AI Features are not legal, tax, accounting or other professional advice. The Customer is responsible for decisions made on their basis.

9.3. Data processing. The AI Features work with Customer Data only within the User's permissions and only to provide the requested output. For this purpose, the Company may use AI model providers as its subcontractors and processors.

10. Intellectual property and licence

10.1. Rights to the Service. The Service, its source and object code, structure, design, graphic elements, databases, documentation and the Website content are copyright works or other protected subject matter, the economic rights to which are exercised by the Company.

10.2. Trademarks. The core3 name, logo and other signs belong to the Company. They may not be used without its prior written consent.

10.3. Licence. For the term of the Agreement, or for as long as the Demo Environment exists, the Company grants the Customer a non-exclusive, non-transferable and non-sublicensable licence to use the Service through its Users for the Customer's own internal purposes, within the scope of the agreed plan.

10.4. Restrictions. Neither the Customer nor Users may, directly or through a third party:

  • a) copy, modify or create derivative works of the Service;
  • b) reverse engineer, decompile or disassemble the Service, except to the extent this cannot be excluded by law;
  • c) make the Service available to third parties, rent it out or provide it as their own service;
  • d) bypass technical limitations of the Service, test its vulnerabilities without the Company's consent or overload it;
  • e) use the Service for unlawful purposes or to store malicious code.

10.5. Feedback. The Company may use suggestions and comments about the Service free of charge for its further development.

11. Availability and changes to the Service

11.1. Availability. The Company strives to ensure continuous and error-free operation of the Service. Unless the Agreement specifies a service level, the Company does not guarantee one.

11.2. Maintenance. The Company may restrict or interrupt the operation of the Service for the necessary time for maintenance, updates or security reasons. It will inform Customers of planned downtime in advance where circumstances allow.

11.3. Development of the Service. The Company may update and develop the Service on an ongoing basis. If a change would materially limit features agreed with the Customer in the Agreement, the Company will notify the Customer in advance and the Customer may terminate the Agreement as of the date the change takes effect.

12. Liability

12.1. Non-excludable claims. This Article does not limit liability that cannot be excluded or limited by law, in particular liability for damage caused intentionally or by gross negligence.

12.2. Scope of commitment. The Company does not guarantee that the Service will meet the Customer's individual requirements that were not expressly agreed, or that the Customer will achieve a particular economic result by using it.

12.3. Indirect damage. The Company is not liable for loss of profit, loss of expected savings, loss of business opportunities or damage resulting from decisions made on the basis of outputs of the AI Features.

12.4. Limitation of amount. Unless the Agreement provides otherwise, the Company's total liability for damage in connection with the Agreement is limited to the amount the Customer paid the Company for the Service in the twelve (12) months before the damage occurred. To the extent permitted by law, the Company is not liable for damage in connection with the free Demo Environment.

12.5. Force majeure. Neither party is liable for delay or damage caused by circumstances excluding liability, in particular natural disasters, war or a state of emergency, strikes or widespread outages of the internet or electronic communication services.

12.6. Customer liability. The Customer is liable for damage it causes to the Company or third parties by breaching these Terms of Service, the Agreement or the law, in particular in connection with Customer Data.

13. Suspension of access

13.1. Reasons. The Company may temporarily suspend access to the Service or the Demo Environment if:

  • a) the Customer is late with payment despite a reminder;
  • b) these Terms of Service or the law are being breached;
  • c) there is a reasonable suspicion of misuse of access or of a security incident;
  • d) it is necessary to prevent damage to the Company, other Customers or third parties.

13.2. Restoration. The Company will restore access without undue delay once the reason for the suspension no longer applies.

14. Personal data protection and cookies

14.1. Personal data. Information about the processing of personal data is provided in the Privacy Policy published on the Website.

14.2. Cookies. The use of cookies and similar technologies is governed by the Cookie Policy published on the Website.

15. Governing law and disputes

15.1. Governing law. These Terms of Service and agreements between the Company and the Customer are governed by the laws of the Slovak Republic, in particular the Commercial Code.

15.2. Courts. Disputes are resolved by the court of the Slovak Republic having subject-matter and territorial jurisdiction.

16. Changes to the Terms of Service and final provisions

16.1. Changes. The Company may change these Terms of Service, in particular when laws, market conditions or the scope of the Service change or as technology develops. It will publish the change on the Website and notify Customers with an Agreement by e-mail at least thirty (30) days before it takes effect. If the Customer does not agree with the change, it may terminate the Agreement as of the date the change takes effect.

16.2. Assignment. The Company may assign its rights and obligations under the Agreement to a person who acquires its business or the Service. The Customer may assign its rights and obligations only with the Company's prior written consent.

16.3. Severability. If any provision becomes invalid or unenforceable, the remaining provisions remain in force and the invalid provision will be replaced by one that comes as close as possible to its purpose.

16.4. Effective date. These Terms of Service take effect on 1 October 2026.
